YOUR INDEMNIFICATION OBLIGATIONS Client agrees to indemnify and hold ICE Links and GAS, its affiliates and their respective employees, consultants and other agents harmless from and against any losses, costs, damages or expense including reasonable attorneys' fees resulting from claims or actions arising out of or in connection with Client's participation in the ICE Links and GAS services, third party claims for infringement of copyright or other intellectual property rights and violation of rights of privacy and publicity. You agree that you are solely responsible for defending any claim, and for payment of damages or losses resulting from the foregoing to both a third party and to ICE Links and GAS limitation of liability and warranty disclaimer the ICE Links and GAS web site, is available on an "as is" basis. ICE Links and GAS makes no warranty of any kind, whether expressed or implied, including any implied warranty of merchantability or fitness of any service provided by ICE Links and GAS for a particular purpose including, without limitation, the evaluations, the exchange, the projects, the contents of any web sites or pages, any technical malfunction, computer error, loss of data, delay in operation, computer viruses, communication line failure, destruction or unauthorized use or access to any web sites or records, or other injury damage or disruption to client. Notwithstanding the foregoing, should ICE Links and GAS be liable for any reason, client agrees that in no event shall ICE Links and GAS' be responsibly for liability ever. In no event shall ICE Links and GAS be liable for any indirect, incidental, consequential, special or exemplary damages arising out of or related to this agreement even if such damages are foreseeable and whether or not ICE Links and GAS has been advised of the possibility thereof. ICE Links and GAS will not be liable for, or considered to be in breach of or in default, on account of any delay or failure to perform as anticipated by the parties you further agree that you will not hold ICE Links and GAS responsible for any acts, errors, or omissions of any third party in connection with the ICE Links and GAS evaluation and exchange programs, ICElinks.org web site, and/or sites linked to through the ICE Links and GAS.org web site. ICE Links and GAS reserves the right to reject any content at anytime. Payment information: you agree to use a valid credit card to purchase the ICE Links and GAS services, memberships are based on yearly subscription, ICE Links and GAS will automatically charge your account for renewal of your yearly membership unless cancelled 48 hours prior to renewal date, trial memberships will be billed for basic membership unless cancelled before rebilling date (7 days after signing up). ICE Links and GAS reserves the right to increase fees or institute new fees at any time with reasonable notice posted in advance on the ICE Links and GAS web site. Chargebacks that are returned to ICE Links and GAS will have a $25.00 chargeback fee and a $25.00 processing fee added to the account. All chargebacks are sent to collection and reported to credit agencies in the account holders local country. ICE Links and GAS may revise the Agreement at any time by updating this page, changes of the agreement will be binding to you.
